Seller warrants domains are currently registered in good standing with authorized registrars. 6. Limitation of Liability

7. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Seller, portfolio owner, and their respective affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) buyer's use of purchased domain, (b) trademark infringement or intellectual property disputes related to buyer's use, (c) breach of these Terms of Service, (d) violation of any third-party rights, (e) buyer's business operations utilizing the domain, or (f) any misrepresentation made by buyer during transaction process.

8. Confidentiality & Non-Disclosure

All communications, negotiations, pricing discussions, strategic information, financial terms, and transaction details exchanged between parties shall be considered confidential proprietary information. Neither party shall disclose such confidential information to any third party without prior written consent, except: (a) to professional advisors bound by confidentiality obligations, (b) as required by law or court order, (c) to escrow service providers as necessary for transaction completion, or (d) information that becomes publicly available through no fault of receiving party. This confidentiality obligation survives transaction completion or termination of negotiations.

9. Governing Law & Dispute Resolution

These Terms of Service and any formal purchase agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these terms, domain purchase, or transaction shall first be subject to good-faith negotiation between parties for a period of thirty (30) days. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in Dallas, Texas by a single arbitrator with domain name industry expertise. Each party bears their own arbitration costs unless arbitrator awards costs to prevailing party. Judgment on arbitration award may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm, trademark infringement, or breach of confidentiality obligations.

10. Entire Agreement & Modifications

These Terms of Service, together with any formal written purchase agreement executed by both parties, constitute the entire agreement between buyer and seller regarding subject matter herein and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written. No modification, amendment, or waiver of any provision shall be valid unless in writing and signed by both parties. Any formal purchase agreement may contain additional terms, conditions, representations, and warranties negotiated between parties. Seller reserves right to modify these Terms of Service at any time by posting updated version on website. Continued use after modifications constitutes acceptance of updated terms.

11. Severability & Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if not possible, shall be severed from these Terms.
